Terms and Conditions

These terms govern your use of www.mpsadvisory.com, the website of MPS & Associates, Company Secretaries. By using this website you agree to them. If you do not agree to them, please do not use the website.

They are written to be read. Nothing in them is intended to take away a right you have under Indian law that cannot be contracted out of.

Who these terms are with

“The Firm”, “we”, “us” and “our” mean MPS & Associates, Company Secretaries, a firm of Company Secretaries in practice with its office in New Delhi, India. “You” means the person using this website. “This website” means www.mpsadvisory.com and every page on it.

These terms should be read together with our Disclaimer and our Privacy Policy, both of which form part of them. Where an engagement letter has been signed between you and the Firm, that letter governs the engagement and prevails over these terms in respect of it.

Acceptance

A notice appears when you first open this website. By continuing past it, and by using the site, you confirm that you are accessing it of your own accord, that no solicitation or advertisement has been made to you by the Firm, and that you accept these terms.

You confirm that you are competent to contract under the Indian Contract Act, 1872, and that where you are using the site on behalf of a company or other body, you are authorised to bind it to these terms.

Permitted use

You may use this website to read about the Firm and its practice, to read anything we publish, and to contact us. In using it, you agree that you will not:

  • Use the website for any unlawful purpose, or in any way that breaches any applicable law or regulation.
  • Attempt to gain unauthorised access to the website, to the server on which it is stored, or to any system connected to it, or interfere with its proper working.
  • Introduce any virus, trojan, worm or other material that is malicious or technologically harmful.
  • Scrape, harvest, systematically extract or index the content by automated means without our written permission, or use it to train any machine-learning system.
  • Send us anything defamatory, obscene, threatening, or infringing of somebody else's rights, or use our contact facilities to send unsolicited commercial communications.
  • Impersonate any person, or misrepresent your identity or your authority to act.

We may withdraw access to the website, or decline to respond to communications received through it, if these terms are breached.

Content is not advice, and using this site creates no relationship

Everything on this website is general information. It is not legal, secretarial, tax, financial or other professional advice, and it must not be relied upon as a substitute for advice taken on your own facts.

Using this website, submitting an enquiry, booking a consultation or corresponding with us does not create a professional relationship. A relationship arises only after the Firm has carried out its conflict checks, has confirmed in writing that it is willing to act, and the scope and terms of the engagement have been agreed in writing.

Consultations booked through this website

The Book a Consultation page allows you to request a time. The following terms apply to any such request, and are additional to anything stated on that page.

Provisional, until confirmed

Selecting a time and submitting the form creates a provisional booking only. It is a request, not an accepted appointment. The Firm may decline it, or may offer an alternative time, if a partner is unavailable or in unavoidable circumstances.

You will receive an acknowledgement immediately. A second communication from the Firm will tell you whether the consultation is being treated as a free enquiry or as a chargeable professional consultation.

How a chargeable consultation is confirmed

Where a consultation is chargeable, the Firm will send you a quotation of its charges before the consultation takes place. The booking is confirmed only when you accept that quotation within the time stated in it, and payment is made as required. If we do not hear from you within that time, the slot may be released.

You are not charged anything at the time of booking. No payment of any kind is taken through this website, and this website does not process card, bank or any other payment information at any stage.

What a consultation is, and is not

A consultation is a discussion. It is not an engagement, and it does not oblige either you or the Firm to enter into one. Anything said in a consultation is given on the basis of what you have described in the time available, is not a formal opinion, and should not be acted upon as one without the Firm being properly instructed.

The Firm gives no assurance as to the outcome of any matter discussed, and no fee is or ever will be charged on a contingent basis or as a share of any result.

Changing or cancelling. If you need to change or cancel a booking, reply to the acknowledgement email quoting your reference, as early as you are able. We will do the same if we have to move a time at our end, and we will offer you an alternative.

Information you send us

What you send through this website is handled in accordance with our Privacy Policy, which explains what we collect, why, who sees it, how long we keep it and what you can ask us to do about it. It also names the officer to whom you may address any grievance about your personal information.

Do not send confidential or privileged material through this website. Web forms and ordinary email are not secure. Sending unsolicited confidential information to the Firm does not oblige the Firm to treat it as confidential, and it may prevent us from acting for you if we already act for another party in the same matter.

Where you send us information about somebody else — a director, an employee, a counterparty — you confirm that you are entitled to give it to us for the purpose for which you are giving it.

Intellectual property

All content on this website, including its text, page design, arrangement, graphics, and the name and mark of the Firm, is the intellectual property of MPS & Associates, Company Secretaries unless stated otherwise, and is protected under the Copyright Act, 1957 and the Trade Marks Act, 1999.

You may read the content, and print or save a copy for your own reference or for the internal purposes of your organisation. Any other use — reproduction, republication, distribution, adaptation, or incorporation into another work or into any database or training corpus — requires our written permission. Where you are permitted to quote, please attribute the material to the Firm.

Third-party links and services

This website is hosted on Blogger, and its enquiry, calendar and booking facilities operate on services provided by Google. Your use of those facilities is also subject to Google's own terms and privacy policy. WhatsApp and LinkedIn links take you to services operated by those companies on their own terms.

Where we link to the Institute of Company Secretaries of India, to the Ministry of Corporate Affairs, to a tribunal or to any other external site, we do so for convenience. We do not control those sites, do not endorse them, and are not responsible for their content or for how they handle your information.

Availability

We try to keep this website available, but we do not guarantee that it will be available without interruption, that it will be free of errors, or that any defect will be corrected. Access may be suspended, withdrawn or restricted at any time without notice, including for maintenance or for reasons outside our control.

Where the booking facility is unavailable, you can always reach us by telephone or by email, and we will fix a time by hand. Our contact details are on the Contact page.

Liability

This website is provided on an “as is” and “as available” basis, without warranty of any kind, express or implied, as to accuracy, completeness, currency, merchantability or fitness for any particular purpose.

To the fullest extent permitted by law, the Firm and its partners, associates and employees are not liable for any loss or damage — direct, indirect, incidental, special, consequential or otherwise, including loss of profit, business, goodwill, data or anticipated savings — arising out of or in connection with your use of, or inability to use, this website, or your reliance on anything in it, whether the claim arises in contract, in tort, under statute or otherwise.

Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud or for the Firm's professional obligations under the Company Secretaries Act, 1980 in respect of work it has actually been engaged to perform.

Governing law and jurisdiction

Applicable law

These terms, and any dispute or claim arising out of or in connection with them or with your use of this website, are governed by and construed in accordance with the laws of India.

The courts at New Delhi shall have exclusive jurisdiction, subject to any right the Firm may have to bring proceedings in any other court of competent jurisdiction.

This website is operated from India. We make no representation that its content is appropriate or available for use in any other jurisdiction. If you access it from elsewhere, you do so on your own initiative and are responsible for compliance with the laws that apply to you.

Changes

We may revise these terms at any time. The revised version takes effect when it is published on this page, and the date at the top tells you when it was last changed. Your continued use of the website after that date means you accept the revision, so please look at this page from time to time.

We may also change, suspend or withdraw any part of the website, including the booking facility, without notice.
