About Us

Most people meet us as a service provider — a firm you engage, brief and pay. That is only half of what we are. The other half is that a Company Secretary in Practice holds an office created by an Act of Parliament, and signs documents that the law permits no one else to sign.

It is a distinction worth two minutes of your time, because it changes what you are buying. When we certify your annual return or sign your secretarial audit report, we are not giving you an opinion you commissioned. We are discharging a function the statute reserved to a named, licensed individual — and we answer for it personally, to a disciplinary tribunal, for the rest of our professional lives. A consultant can be replaced. A statutory signature cannot be bought.

Where our authority comes from

Two different Acts do two different jobs, and conflating them is the usual source of confusion. One creates the profession and decides who may belong to it. The other, together with the SEBI Regulations and several allied laws, decides what a member of that profession may sign. Neither works without the other.

01 Parliament of India Nothing below this line is a private arrangement. Every step exists because a statute says it does, and can be changed only by Parliament.
Where the standing comes from
02 The Company Secretaries Act, 1980 Parliament creates the profession itself — who may call themselves a Company Secretary, how they qualify, and what happens when they fall short.
03 The Institute of Company Secretaries of India Constituted by that Act as a body corporate. Not a trade association anyone can start — a statutory body that examines, admits, regulates and, where required, expels. Section 3, Company Secretaries Act, 1980
04 Member, and then a Certificate of Practice Membership alone is not enough. A member may not practise, and may not sign anything as a practising professional, until the Council grants a Certificate of Practice — which it can also suspend or withdraw. Where the signing power comes from
02 The Companies Act, 2013 A separate Act, passed thirty-three years later, which reserves particular reports and certificates to a Company Secretary in Practice — and to nobody else.
03 SEBI Regulations, FEMA, the LLP Act and allied laws Further certifications are reserved the same way — secretarial audit and the annual secretarial compliance report for listed companies, share transfer certificates, reconciliation of share capital, and filings under the exchange control regime.
04 A closed list of documents The result is not a service menu. It is a defined set of documents that a company cannot lawfully complete without a Practising Company Secretary putting a name and a membership number to them.
05 MPS & Associates, Company Secretaries A firm of Practising Company Secretaries, registered with the ICSI and holding a current peer review certificate. The two chains above meet here: the standing to hold the office, and the statutory power to sign.
Peer review An independent reviewer appointed by the Institute inspects our files, systems and working papers, and reports to the Peer Review Board. The certificate runs for a fixed term, then the firm is reviewed again.
Continuing education A member in practice must complete a minimum number of structured learning hours every year, prescribed by the Council. Fall short and the Certificate of Practice is at risk.
Secretarial Standards The standards ICSI issues for board and general meetings are not guidance. The Companies Act obliges every company to observe them.
Personal discipline Professional misconduct is defined in two Schedules to the 1980 Act and tried by the Institute's own disciplinary machinery. The ultimate penalty is removal of the member's name from the Register.

Membership makes you a Company Secretary. The Certificate of Practice lets you practise. The Companies Act and the SEBI Regulations decide what you may sign. Peer review, continuing education and the disciplinary Schedules decide whether you keep any of it.

Now, about the firm

MPS & Associates, Company Secretaries was established in 2021 at New Delhi as a firm of Practising Company Secretaries, registered with the Institute of Company Secretaries of India. The firm is peer-reviewed by the ICSI — an independent assessment of the quality and discipline of our professional work.

We were set up with a deliberately narrow purpose: to take on the corporate secretarial and corporate law matters that are too technical, too time-bound or too consequential to be handled in passing. In the years since, that focus has grown into a practice serving more than a hundred clients across twenty states in India and twelve countries overseas.

What we do

Our work centres on secretarial audit and due diligence — audits under Section 204 of the Companies Act, 2013, secretarial and legal due diligence for transactions, and compliance reviews that prepare a company for an IPO. Around that core, we handle compounding of offences and adjudication of penalties, mergers and acquisitions, corporate restructuring and matters before the National Company Law Tribunal, together with routine and event-based secretarial compliance, foreign exchange and cross-border filings, drafting of corporate and commercial documents, intellectual property registrations, statutory licences and governance training for boards.

We also run the finance and back-office function for companies that would rather not build one — bookkeeping, accounting, payroll, provident fund and state insurance, the audit file and the reporting a foreign parent needs. That work sits alongside the secretarial calendar rather than separately from it, which is the whole point of it being under one roof.

We appear before the National Company Law Tribunal, the Regional Director, the Registrar of Companies and other authorities under the Companies Act, and we draft and file the documents that those proceedings rest on.

Whom we serve

Our clients are companies. We act for listed and unlisted public companies, private limited companies, limited liability partnerships, wholly-owned subsidiaries of foreign parents, branch, liaison and project offices, non-banking financial companies, start-ups and MSMEs, trusts, societies and Section 8 companies, and for chambers of commerce and trade associations. They operate in manufacturing and textiles, pharmaceuticals and healthcare, real estate and hospitality, technology, telecom, media, financial services, logistics, energy, education and the consumer sector.

A substantial part of that work reaches us on referral — from auditors, bankers, counsel and advisers who need the secretarial and corporate law component of an assignment handled properly. Where a company already has an accountant or an auditor in place we work alongside them rather than displacing them. The statutory audit of a company is in any event carried out by an independent auditor appointed under the Companies Act, and never by this firm in respect of records it has itself prepared.

How we work

We are a multidisciplinary bench by design. Company Secretaries, an Advocate enrolled with the Bar Council of India and a finance professional work on the same file rather than in sequence. In practice that means a due diligence report can be reviewed and signed by a practising Advocate, a scheme of arrangement can be drafted and argued by the team that also modelled its financial effect, and a client is not left coordinating between three advisers who have never spoken to each other.

We work to fixed, agreed timelines, we tell clients early when a filing is at risk rather than after the due date has passed, and we keep the working papers that let a company answer a regulator years later. For most of our clients we function as an extension of their own secretarial department rather than as an outside consultant called in for a single filing.

Our Founder is a Fellow Member of the ICSI, a registered Trade Mark Agent and a Primary Member of the ICAI Registered Valuer Organisation. Mohit is a Fellow Member of the Institute of Company Secretaries of India, a registered Trade Mark Agent and a Primary Member of the ICAI Registered Valuer Organisation. He holds a Master of Commerce in Business Policy and Corporate Governance and brings over eight years of professional experience, having begun his career with the Bharti Group before establishing an independent practice. He founded the firm in 2021 and leads its secretarial audit and due diligence practice, advising boards and promoters on corporate law, mergers and acquisitions, foreign exchange compliance and intellectual property.
